The Short Version

CirclStdio builds automation systems. TextSynth is our SMS-based AI assistant. Use our services responsibly. Don't abuse them. Pay for what you use. We can change things or cut off access if needed. AI isn't perfect, so don't rely on it for critical decisions.

That's the gist. The rest is the legal version.

Agreement to Terms

By using CirclStdio's websites, services, or TextSynth, you agree to these Terms of Service. If you don't agree, don't use our services.

"CirclStdio" refers to CirclStdio and The Circle Studios Inc.
"Services" refers to our websites (circlstdio.io, textsynth.io), consulting services, and the TextSynth SMS platform.
"You" refers to you, the person or company using our services.

Our Services

CirclStdio Consulting

We provide automation consulting, system integration, and AI implementation services. Project scope, deliverables, timeline, and payment terms are defined in separate project agreements or statements of work.

TextSynth

TextSynth is an SMS-based AI assistant. You text our number, AI agents respond. The service maintains conversation context to provide helpful responses.

Account Registration

Some services require an account. When you create one:

• You must be human (no bots)
• You must be at least 13 years old (16 in the EU)
• You must provide accurate information
• You're responsible for your password and account security
• You're responsible for all activity under your account

Acceptable Use
‍

Do:

• Use services for lawful purposes
• Respect other users
• Follow applicable laws and regulations
  ‍

Don't:

• Send spam or unsolicited messages
• Harass, threaten, or abuse anyone
• Attempt to hack, reverse engineer, or disrupt our systems
• Use services for illegal activities
• Impersonate others
• Send content that's illegal, harmful, or violates others' rights
• Use TextSynth to generate content that violates laws or regulations
• Resell or redistribute our services without permission
• Use automated systems to abuse rate limits

SMS-Specific Rules (TextSynth):

• Don't use TextSynth to send bulk marketing messages
• Don't use it for phishing or fraud
• Don't share illegal content
• Respect carrier guidelines and regulations (TCPA, CTIA)

We reserve the right to suspend or terminate accounts that violate these terms.

Intellectual Property

Our Stuff

CirclStdio owns or licenses all content, code, designs, and materials on our websites and in our services. You can't copy, modify, or distribute our stuff without permission.

Your Stuff

You retain ownership of content you provide (project materials, messages, data). By using our services, you grant us a license to use your content as needed to provide the services.

Consulting Deliverables

Unless otherwise specified in a project agreement:

• You own the final deliverables we create for you
• We retain rights to general knowledge, methodologies, and tools developed during the engagement
• We may use anonymized case studies for marketing (with your approval)

Payment Terms

Consulting Services

Payment terms are defined in individual project agreements. Generally:

• Deposits may be required before work begins
• Invoices are due within 15 days unless otherwise specified
• Late payments may incur fees or work stoppage

TextSynth

• Free tier: Rate-limited access
• Paid plans: Charged based on your selected plan
• Credits/subscriptions: Non-refundable
• We may change pricing with notice

Refunds

• Consulting: Refunds are handled case-by-case based on project agreements
• TextSynth: No refunds for used credits or partial subscription periods
• You can cancel anytime, but we don't prorate unused time

Service Availability

We aim for high uptime but don't guarantee uninterrupted service. We may:

• Perform maintenance (we'll try to notify you)
• Modify or discontinue features
• Experience outages beyond our control

We're not liable for losses due to service interruptions

AI Disclaimer

This is important.

TextSynth responses are generated by artificial intelligence. AI can be wrong, biased, or inappropriate.

AI is NOT a substitute for:

• Medical advice (talk to a doctor)
• Legal advice (talk to a lawyer)
• Financial advice (talk to an advisor)
• Emergency services (call 911)
• Professional expertise in critical matters

You acknowledge that:

• AI responses may contain errors or inaccuracies
• You're responsible for verifying information before acting on it
• We're not liable for decisions you make based on AI output
• AI doesn't have real-time information unless explicitly stated

Data and Privacy

Your use of our services is also governed by our Privacy Policy. By using our services, you agree to our data practices as described there.

Message Retention (TextSynth)

• Messages are stored for 90 days by default
• You can request deletion at any time
• Some data may be retained for legal or operational reasons

Third-Party Services

Our services integrate with third parties (Twilio, AI providers, payment processors, etc.). Your use of those services is subject to their terms. We're not responsible for third-party services.

Limitation of Liability

To the maximum extent permitted by law:

We provide services "as is" without warranties of any kind, express or implied.

We're not liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the amount you paid us in the past 12 months (or $100, whichever is greater)

This applies whether the claim is based on contract, tort, negligence, or any other legal theory.

Indemnification

You agree to defend and hold harmless CirclStdio, its owners, employees, and partners from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these terms
• Your violation of any law or third-party rights
• Content you provide or generate

Termination

You Can Leave Anytime

• Cancel your TextSynth account at any time
• Consulting engagements follow their contract terms

We Can Terminate Access

We may suspend or terminate your access if you:

• Violate these terms
• Abuse our services
• Fail to pay
• For any reason with reasonable notice

Upon termination:

• Your right to use services ends immediately
• We may delete your data after a reasonable period
• Provisions that should survive (liability limits, indemnification) remain in effect

Dispute Resolution

Informal Resolution First

Before filing any claim, contact us at legal@circlstdio.io. We'll try to resolve it within 30 days.

Governing Law

These terms are governed by the laws of Nevada, United States.
‍

Jurisdiction

Any disputes will be resolved in the courts of Clark County, Nevada.
‍

No Class Actions

You agree to resolve disputes individually, not as part of a class action.
‍

Changes to Terms

We may update these terms. When we do:

• We'll update the "Last Updated" date
• For significant changes, we'll notify you via email or SMS
• Continued use after changes means you accept the new terms

These terms, along with our Privacy Policy and any project agreements, constitute the entire agreement between you and CirclStdio.
